1. Term of Agreement. The term of this Agreement will begin upon the Companys acceptance of your CBCLICKBANK application and will end when terminated by either party. Either you or the Company may terminate this Agreement at any time, with or without cause, by giving the other party with or without written notice of termination. You are only eligible to earn commissions on sales occurring during the term.

2. No Charge to Participate. The CBCLICKBANK Affiliate Program is a voluntary program. Furthermore, there is no fee or charge to participate in the CBCLICKBANK Affiliate Program, and no purchase of the CBCLICKBANK Products, or any other product or service is required to participate. Labeled "FREE" Affiliate. Free Affiliate is restricted to access gold members area.

2.1 Purchase of Products. The CBCLICKBANK Affiliate can purchase/buy of the CBCLICKBANK Products, or any other product or services by provided payment system. CBCLICKBANK Affiliate Labeled "GOLD" Affiliate.

2.2 Information. Information provided by you is true and correct. your information will be verified. If found incorrect may face to deletion of account.

2.3 No Spam : We have no tolerance of SPAM as a method of promoting your CBCLICKBANK referral links. We define SPAM as the sending of any unsolicited commercialized messages. All members found SPAMMING will have their membership terminated and will not be eligible to join CBCLICKBANK in the future.

3. Promotion of program . As a participant in the CBCLICKBANK Affiliate Program, you will place primary emphasis on the referring /selling of the CBCLICKBANK Products to ultimate customers. In addition, you may also refer or introduce new affiliates to the CBCLICKBANK Affiliate Program, and you will be compensated for sponsoring or introducing new CBCLICKBANK affiliates to the Company. Any commissions the Company pays to you will be based solely on referred "Gold" affiliated under your head and will be commensurate with the prescribed commissions set in the agreement.

4. Sales Tools. Affiliates who purchase the product for as per the classified system pricing are labeled GOLD Affiliates and will receive an online account tailored for sales of the CBCLICKBANK Products and Services, various marketing tools and an internet marketing course (collectively, the \Sales Tools\) to assist in marketing and selling the CBCLICKBANK products. Affiliates may be required to purchase the Sales Tools, and are provided the same sales commissions whether they purchase the Sales Tools or not. They may also require to pay additional charges for receiving specilaised training conducted by CBCLICKBANK

5. No Income Guarantee. You acknowledge and agree that you are not guaranteed to earn any specific amount of income by participating in the CBCLICKBANK Affiliate Program. Any illustration appearing on the CBCLICKBANK website is an explanatory model. It does not guarantee an exact replication in practice. Affiliates will be responsible for selling the products of CBCLICKBANK.

6. Discretion To Accept Sales; No Gaming of Sales. The Company retains, in its sole discretion, the full authority to accept or reject any application, order or proposal to purchase the CBCLICKBANK Products. No right of action against the Company will arise because of any such acceptance or refusal. Sales of the CBCLICKBANK Products will take place directly between the Company and the ultimate customers. All aspects of these sales to the ultimate customers, including administration and fulfillment, will be handled by the Company. No Affiliate may game the sales process for an advantage not anticipated by the sales process outline in this agreement. For example, an Affiliate may not subsequently become an Affiliate for a multiple purchases simply to secure the effect of a discount off the purchase price. No Affiliate may own more that one Affiliate account.

7. Modification. The Company may modify any of the terms and conditions contained in this Agreement, at any time and in the Companys sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of available commissions, fee schedules, payment procedures and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE CBCLICKBANK AFFILIATE PROGRAM FOLLOWING THE COMPANYS POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON THIS SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

8. Limitation of Liability. The Company will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the CBCLICKBANK Affiliate Program, even if the Company has been advised of the possibility of such damages. Further, the Company's aggregate liability arising with respect to this Agreement and the CBCLICKBANK Affiliate Program will not exceed the total commissions paid or payable to you under to this Agreement.

9. Independent Investigation. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT THE COMPANY MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMERS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE (IF YOU HAVE ONE). YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE CBCLICKBANK AFFILIATE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

10. Commissions and Payments Procedures. The amount of commissions due to CBCLICKBANK affiliates will be as set forth in the Affiliate Program. On certain services or products the Company may pay higher or lower fixed commissions, solely at the Companys discretion and with no prior notice. A commission will only be credited to a CBCLICKBANK affiliate after the customer has made full payment to the Company. If a customer later requests a refund, or a charge back is issued by the credit card holder whose credit card was used to pay for that customers account, any commissions that were credited to first tier and subsequent tier CBCLICKBANK affiliates will be deducted from the next due payment. If there is no next due payment, the CBCLICKBANK affiliate will be billed and hereby agrees to be bound by law to reimburse the Company in full for any such commissions. Payments will be issued via online to the email address the CBCLICKBANK Affiliate specified during registration. CBCLICKBANK Affiliates must have accumulated commissions of at least $25 for a given payment period before a payment will be issued. If commissions are less than $25 , the commissions will be held over till the total commission earned reaches to $25.00 The Company reserves the right to withhold any payments until you have furnished us with a properly executed documents and form as prescribed by local administrative bodies or CBCLICKBANK. For commission payments other that US$ currency, CBCLICKBANK may ask or enforce cetrain conditions as required by the local administrative bodies. In all cases most economic way of payment processing will be followed. Any processing charges arising due to such transaction will be borned by the Affiliate.

11. Tracking of Sales. The Company is solely responsible for tracking sales, including using special software that communicates with the specially encoded URLs assigned to Affiliates. The Company will endeavor to do its best to ensure accurate tracking of commissions due to CBCLICKBANK affiliates. CBCLICKBANK Affiliates will themselves be solely responsible for ensuring that any such special URLs are formatted properly, a necessary prerequisite to accurate tracking of sales. Notwithstanding the above statement of responsibility by the Company to track sales, the CBCLICKBANK affiliate hereby acknowledge and accepts that the tracking system employed by the Company is not 100% fail-safe and that there may on occasion be instances of sales made that are not credited to an CBCLICKBANK affiliate for any number of possible reasons, some of which might be: Failure by the CBCLICKBANK affiliate to use the proper format of the specially assigned URL in promotions, web page links, banner ads, and so on; deliberate or accidental actions by customers to circumvent an CBCLICKBANK affiliate\s special URL so that the Company software is unable to accurately track that sale; bugs, glitches or crashes of the tracking software that render it unable to accurately track sales for a period of time; acts of a nature that cause irretrievable data loss on the computers and back-up disk media that store the commission information. As such, CBCLICKBANK affiliates will not hold the Company liable to compensate for any claimed commissions that were not tracked and recorded by the tracking software. The Company will pay commissions on any future sales after the customer has re-entered our site through the use of the given web link.

12. Relationship of Parties. You agree that by participating in the CBCLICKBANK Affiliate Program you are acting as an independent contractor, and are responsible for determining your own business activities. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on behalf of the Company. Furthermore, you will not represent in any manner that you are an agent or representative of the Company. You will not make any statement, whether on a website or otherwise, that reasonably would contradict anything in this Section.

13. Taxes. You are responsible for the payment of all federal and state or regulatory taxing agency self-employment taxes, as well as any other taxes on income you earn as an CBCLICKBANK Affiliate, that are imposed by any federal, state, or regulatory taxing agency. The Company will not be liable for any municipal, county, state or federal taxes or other fees pertaining to your efforts or earnings.

14. Earnings Claims. In promoting and selling the CBCLICKBANK Products you will make no claims as to income potential, either written or oral, except those prepared by the Company for illustration purposes only. You will also not make any false or misleading statements about the CBCLICKBANK, the Company or any other CBCLICKBANK products or services.

15. No Government Endorsement. You will not represent or imply, directly or indirectly, that the CBCLICKBANK Affiliate Program has been approved or endorsed by any state or federal government agency. You understand and acknowledge that state and federal government agencies do not approve or endorse marketing companies, products or programs.

16. No Refunds. You can not return a CBCLICKBANK Products you have purchased. No refund policy.

17. Legal Age. By entering into this Agreement, you represent and acknowledge that you are of legal age in the state of your residency.

18. Intellectual Property. You will not promote the CBCLICKBANK Products nor use the Company name, or the trade names, logos, copyrighted materials, trademarks or service marks of the Company or the CBCLICKBANK products or services, except in materials or via methods provided by the Company or approved in writing by the Company prior to their use by you. Only Affiliates who purchase the Sales Tools may use or copy for use, the information provided with the Sales Tools they purchase.

19. Indemnification. You hold harmless and will indemnify and defend the Company from any and all claims, expenses, costs, causes of action and damages, including reasonable attorney's fees resulting from or arising out of your statements or actions in violation of this Agreement or applicable law.

20. No Franchise or Distributorship. Participation in the CBCLICKBANK Affiliate Program does not constitute the sale of a franchise or a distributorship and no fees or purchases have been or will be required of you.

21. Content Guidelines. As a CBCLICKBANK Affiliate you agree to the following content guidelines. As an affiliate you are prohibited from making any false, misleading, or disparaging remarks about CBCLICKBANK or any of the CBCLICKBANK PRODUCTS.

22. No Authorization : Not authorized to accept deposits or trust accounts CBClickBank is not a chartered bank or trust company, or depository institution. CBClickBank is not authorized to accept deposits or trust accounts and is not licensed or regulated by any state or federal banking authority.

23. Miscellaneous. This Agreement will be governed by the laws, any action relating to this Agreement must be brought in the federal or state courts which is convenient to company and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without the Company\s prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. The Company\s failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of the Company\s right to subsequently enforce such provision or any other provision of this Agreement.
